Carbone On-Premise License

PLEASE READ THIS CARBONE ON-PREMISE LICENSE (THE LICENSE) CAREFULLY. IT GOVERNS THE USE OF THE CARBONE SOFTWARE THAT YOU INSTALL ON YOUR OWN INFRASTRUCTURE. BY DOWNLOADING, INSTALLING, COPYING OR RUNNING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS LICENSE. IF YOU ACCEPT THIS LICENSE ON BEHALF OF A LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE.

1. Scope and definitions

1.1 Scope

This License is entered into between CARBONEIO SAS, with a capital of 10.000 €, registered with the RCS of La Roche-sur-Yon under n°899 106 785, whose registered office is located 130 La Sauvagère 85170 BELLEVIGNY, France (CARBONEIO), and you or the legal entity on whose behalf you accept this License (You).

This License applies to the Carbone On-Premise binaries (Linux, macOS, Windows), the Docker images published by CARBONEIO (such as carbone/carbone-ee), Carbone Studio and the Studio web component served by them, their documentation, and their updates, whether they run as Community Edition or as Enterprise Edition.

This License does not apply to:

• Carbone Cloud, governed by the Cloud Terms of Service;
• the CarboneJS source code published on GitHub and the npm package carbone, governed by the Carbone Code License;
• the SDKs, MCP server, plugins and deployment examples published by CARBONEIO under the Apache License 2.0, governed by their own license;
• third-party components (such as LibreOffice, Chromium or OnlyOffice), governed by their own licenses.

1.2 Definitions

• Software: the software described in Article 1.1, in binary form, including any update provided by CARBONEIO.
• Community Edition: the Software running without a valid License Key, with the features published as "Community" on the pricing page.
• Enterprise Edition: the Software running with a valid License Key issued by CARBONEIO, with all the features of the plan purchased.
• License Key: the signed .carbone-license token issued by CARBONEIO that unlocks the Enterprise Edition for a given plan and period.
• Enterprise Agreement: the agreement signed by You and CARBONEIO, or the online order accepted by You, that references this License and defines the plan, the fees, the term and the support of the Enterprise Edition, together with any specific terms negotiated with You.
• Document Generator: a tool that generates documents of any form and any type.
• Your Product: a product or service developed by or for You that uses the Software as a back-end component, which is not primarily a Document Generator, and whose key functions, upon which it is offered and marketed, add substantial value of a different nature (for example an ERP or a vertical-specific application).
• Affiliate: any legal entity that controls, is controlled by, or is under common control with You, where "control" means the ownership of more than fifty percent (50%) of the voting securities.
• Contractor: a person or entity performing work on Your behalf, only to the extent it performs such work.
• Confidential Information: the non-public elements of the Software (including its internal structure, its License Key mechanism and any non-public documentation) and the terms of any Enterprise Agreement.

2. Community Edition

Subject to Your compliance with this License, CARBONEIO grants You a free, non-exclusive, non-transferable, worldwide license, without the right to sublicense, to copy, install and use the Community Edition:

• (a) for Your own internal business purposes, including copies in Your private container registries; and
• (b) as a back-end component of Your Product, including the installation of the Software for Your customers who host Your Product on their own servers, provided that such customers use the Software only through Your Product and that You inform them that the Software is subject to this License.

You shall not use the Community Edition to provide, directly or through a wrapper, a hosted document generation service, or any service in which the functions of a Document Generator are made available to third parties other than as part of Your Product.

The Community Edition is provided without support.

3. Evaluation

When CARBONEIO issues You a trial License Key, You may use the Enterprise Edition for internal evaluation purposes only, excluding any production use, for the period stated in the License Key (thirty (30) days unless otherwise stated). The evaluation is provided without support and without any obligation of CARBONEIO, and ends automatically at the expiration of the trial License Key.

4. Enterprise Edition

Subject to the full payment of the fees stated in the Enterprise Agreement and to Your compliance with this License, CARBONEIO grants You and Your Affiliates a non-exclusive, non-transferable, worldwide license, without the right to sublicense, to copy, install, use and distribute the Enterprise Edition, within the limits of the plan and period of the Enterprise Agreement and of the License Key:

• (a) for Your own internal business purposes; and
• (b) exclusively bundled with Your Product, including the installation of the Software for Your customers who host Your Product on their own servers, provided that such customers use the Software only through Your Product.

The Enterprise Agreement defines the fees, the term, the support, the service levels and, where applicable, the source code escrow and the rights that remain after the expiration of the Enterprise Agreement. Absent any such provision, the Software runs as Community Edition after the expiration of the License Key.

You remain liable for any act or omission of Your Affiliates, Contractors and customers that would be a breach of this License.

5. Restrictions

Except to the extent expressly permitted by mandatory law (in particular Article L122-6-1 of the French Intellectual Property Code and Articles 5 and 6 of Directive 2009/24/EC), You shall not, directly or through a third party, whether manually or by means of automated tools or artificial intelligence systems:

• (a) copy, modify, translate, adapt or create derivative works of the Software, except as expressly permitted by this License or through the documented configuration and plugin interfaces;
• (b) decompile, disassemble, reverse engineer or otherwise attempt to derive the source code, algorithms or internal structure of the Software;
• (c) use the Software, its documentation, its outputs or any Confidential Information to design, develop, train or improve a product or service that competes with Carbone;
• (d) remove or alter any proprietary notice, or circumvent any License Key, usage limit, watermark or technical protection measure;
• (e) rent, lease, sell, sublicense or distribute the Software on a standalone basis, or allow third parties to use the Software other than as permitted in Articles 2 and 4.

CARBONEIO reserves the right to correct errors in the Software. Information necessary to achieve the interoperability of an independently created program with the Software is provided free of charge upon written request to contact@carbone.io. The non-public elements of the Software constitute trade secrets of CARBONEIO; obtaining them by observation, study, disassembly or testing of the Software is contractually prohibited within the meaning of Article L151-3 of the French Commercial Code, except to the extent such acts are permitted by mandatory law.

Nothing in this License prevents You from making a backup copy of the Software, or from observing, studying or testing its functioning while performing the acts of loading, displaying, running or storing the Software that You are entitled to perform.

6. Intellectual property and trademarks

The Software is licensed, not sold. CARBONEIO owns all right, title and interest in and to the Software, its documentation and its template language, and reserves all rights not expressly granted in this License, including the right to modify the features, plans, prices and licensing terms of future versions.

"Carbone" and the Carbone logo are registered trademarks of CARBONEIO. You may refer to Carbone in a factual way (for example "compatible with Carbone" or "powered by Carbone"), but You may not use "Carbone", or a confusingly similar name, in the name of a product, service, package or domain name, nor use the Carbone logo, without the prior written permission of CARBONEIO.

7. Confidentiality and trade secrets

You shall keep the Confidential Information strictly confidential, use it only to exercise Your rights under this License, and disclose it only to Your employees, Affiliates and Contractors who need to know it and are bound by obligations at least as protective as this Article. You shall inform them of the terms of this License and use reasonable efforts to ensure their compliance.

This obligation does not apply to information that is or becomes public through no fault of Yours, that You already knew, that You developed independently without using Confidential Information, or that You must disclose by law or court order. It remains in force for three (3) years after the end of this License, and for as long as the information remains a trade secret for the non-public elements of the Software.

8. Usage data

The Software may collect usage details such as start times, performance metrics, alerts and the number of generated documents. These usage details never include Personal Data, templates, or the data used to generate documents. The collection is enabled by default and can be disabled in the configuration of the Software. CARBONEIO provides the list of collected details upon written request. As of the effective date of this License, the Software collects, at startup only, the identifier of the tenant (the License Key) and the version of Carbone.

9. Warranty and liability

THE COMMUNITY EDITION AND ANY EVALUATION OF THE ENTERPRISE EDITION ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, AND CARBONEIO EXCLUDES ALL LIABILITY FOR THEM TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

For the Enterprise Edition, CARBONEIO does not warrant that the Software is error-free or fit for a particular purpose. You are solely responsible for determining the appropriateness of the Software and assume all risks associated with its use. In no event will CARBONEIO be liable for any indirect damages, such as loss of business, profits, data or business interruption. Unless otherwise stated in the Enterprise Agreement, the total liability of CARBONEIO shall not exceed the amounts invoiced to You during the six (6) months preceding the event giving rise to the liability.

CARBONEIO is not responsible for any problem resulting from document conversions performed by third-party components (LibreOffice, Chromium, OnlyOffice).

10. Term and termination

This License remains in force as long as You use the Software. CARBONEIO may terminate it by written notice if You breach any of its terms and fail to remedy the breach within fifteen (15) days of a first written notice, or immediately in case of a breach of Article 5. Upon termination, You shall stop using the Software and destroy all its copies, except as otherwise stated in the Enterprise Agreement.

Articles 5, 6, 7, 9 and 11 survive the termination of this License; Articles 5 and 6 survive without limitation of duration.

11. General provisions

11.1 Governing law and jurisdiction

This License is governed by French law. Any dispute relating to its conclusion, performance or termination shall be submitted to the exclusive jurisdiction of the Paris commercial court (Tribunal des activités économiques de Paris).

11.2 Order of precedence

The provisions of an Enterprise Agreement that expressly modify or supplement this License prevail over it. For everything else, this License applies.

11.3 Severability

If any provision of this License is held invalid or unenforceable, the other provisions remain in force, and the invalid provision is replaced by a valid provision that best reflects its original intent.

11.4 Assignment

You may not assign this License, in whole or in part, including in the event of a merger or acquisition, without the prior written consent of CARBONEIO.

11.5 Modification

CARBONEIO may publish new versions of this License. Each version applies to the versions of the Software released on or after its effective date. The version accepted in an Enterprise Agreement remains applicable to that Enterprise Agreement until its renewal.
